I highly appreciate our partnership and collaboration with the LEXR team. They have supported us for the majority of our 5-year journey so far, growing from a crappy, early stage startup to a shiny, quickly expanding scaleup. Many topics around Regulation, Legal, Compliance, and Fundraising were far away from straight-forward and required an immense level of pragmatism and responsivity, which we were always able to count on. I can only recommend LEXR, especially for early stage, VC-backed startups in dynamic environments!

How we solve your challenges

From regulatory classification and token structuring to AML compliance and DAO wrappers — the full lifecycle of your blockchain project, in one team.

We analyze your blockchain project from the perspective of Swiss financial market law, EU regulation and beyond — determining which licenses or registrations apply, what can be structured to avoid licensing requirements, and where you can operate most efficiently. You get a clear picture before you build.

We structure the optimal legal wrapper for your project — from Swiss AG or foundation to a DAO legal wrapper or offshore structure — so that governance, liability, token issuance and IP ownership are properly aligned with your business model and investor expectations.

We classify your token under Swiss law (payment, utility or asset token), advise on the implications for FINMA licensing, AML obligations and cross-border distribution, and draft or review your token documentation — including terms and conditions, white paper and investor agreements.

If your project is subject to the Swiss Anti-Money Laundering Act, we guide you through the SRO membership process or FINMA authorization, help you implement a compliant KYC/AML framework and prepare all required documentation for regulators.

We draft and review the full suite of commercial documents your project needs — from smart contract terms and user agreements to partnership and service provider contracts — ensuring they are enforceable, protect your IP and reflect the on-chain mechanics of your protocol.

Blockchain legal FAQ

The questions crypto founders and protocol teams ask us most before their project goes live.

It depends on how your token is classified. Payment tokens, utility tokens and asset tokens each attract different regulatory requirements under Swiss law. Our blockchain workshop starts with precisely this question — we classify your token and tell you exactly what licensing, AML or prospectus obligations apply before you launch.

It is a focused 2-hour session with a senior crypto lawyer. We analyze your project's structure, token model and target markets, determine the applicable Swiss and EU regulatory framework, identify risks and draft a concrete action plan. You leave with written next steps and a clear picture of your legal position — fixed fee, CHF 3'800.

Switzerland does not yet have a dedicated DAO law, but Swiss association, AG and foundation structures can be used as legal wrappers that give your DAO legal personality, limit member liability and allow you to open bank accounts and enter contracts. We have structured multiple DAO wrappers and can advise on the best fit for your governance model.

If your project targets EU users or markets, MiCA applies regardless of where you are incorporated. As a stablecoin issuer you need authorization; for utility tokens and other crypto-assets you need a compliant white paper. Our MiCA compliance workshop maps your project to the correct category and gives you a step-by-step compliance roadmap.

Yes. If your project is subject to the Swiss Anti-Money Laundering Act — for example if you operate as a financial intermediary — you need SRO membership or a FINMA authorization. We guide you through the entire process: determining whether it applies, selecting the right SRO, preparing the membership documentation and implementing a compliant KYC/AML framework.

Yes. We advise on the regulatory status of DeFi protocols under Swiss, EU and US law, draft compliant user-facing terms for frontends and smart contracts, and help structure your protocol to minimize regulatory exposure without compromising decentralization — a balance we have navigated for multiple live DeFi projects.
