The package covers an intro call with senior M&A counsel to understand your goals, a written red-flag report identifying critical clauses and one-sided risks, an overall deal-balance assessment against current market standards, a written strategy for next steps, and a follow-up discussion call to go through the report and answer your questions.

Q: How much does the SPA review cost?

The flat fee is CHF 2'500 (excl. VAT). The price is fixed before we start — no hourly billing, no surprises. If you need additional support for negotiation or full contract drafting after the review, that can be scoped and priced separately.

Q: How quickly will I receive the report?

We typically deliver the written report within 4 business days after the intro call. If you have a tighter deadline — for example a counterparty deadline — let us know and we will do our best to accommodate a faster turnaround.

This package is aimed at entrepreneurs, founders, and business owners who are about to sell their business (or acquire one) and don't have a legal background or profound M&A experience themselves. It is equally useful for buyers who want a fast independent check of a draft SPA before committing to full negotiations.

Both. For sellers we flag clauses that are unusually buyer-friendly and advise on where to push back. For buyers we identify risks in the seller's draft and assess whether the overall balance is fair. Either way, you get a clear picture of where you stand before you negotiate.

Q: Can you help with the full SPA drafting or negotiation after the review?

Yes. The SPA Review Package is a standalone fixed-fee product, but if you need help drafting or redlining the agreement, negotiating with the other side, or managing the full transaction through to closing, our M&A team can take on those mandates. We will scope and price additional work separately after the review call.
