I highly appreciate our partnership and collaboration with the LEXR team. They have supported us for the majority of our 5-year journey so far, growing from a crappy, early stage startup to a shiny, quickly expanding scaleup. Many topics around Regulation, Legal, Compliance, and Fundraising were far away from straight-forward and required an immense level of pragmatism and responsivity, which we were always able to count on. I can only recommend LEXR, especially for early stage, VC-backed startups in dynamic environments!

Digital assets and fintech have entered a structural phase. Regulation is no longer a hurdle to navigate - it is part of the infrastructure. This requires designing within it, across jurisdictions and at scale. The companies that will lead this cycle won’t be those trying to minimize the law. They will be those who understand how to use it strategically. Let's talk!

FinTech legal FAQ

The questions FinTech founders and teams ask us most before they book a call.

It depends on what you actually do with client money and assets. Taking deposits, managing portfolios, running a payment or crypto business and issuing tokens each trigger different regimes — from the FinTech (banking-light) license to portfolio- and asset-manager authorisation, payment-institution status or a full banking license. We assess your model early, tell you which license (if any) applies, and map the fastest compliant route to market.

If you provide financial services on a professional basis in Switzerland, you likely qualify as a financial intermediary and must affiliate with a FINMA-recognised self-regulatory organisation (SRO) for anti-money-laundering supervision. We assess whether you're in scope, handle the SRO application, build your AML compliance program, and can take on the AML Officer role on an outsourced basis.

Often, yes. If you offer crypto-asset services to clients in the EU or issue tokens into the EU market, MiCA can apply regardless of where you're established, and you may need a CASP authorisation or a compliant white paper. We help you determine your EU exposure, choose the right authorisation and entity structure, and align your Swiss and EU setups so you can passport across the bloc.

A prospectus is generally required when you publicly offer securities or seek admission to trading, subject to exemptions (e.g. limited investor numbers or minimum ticket sizes). Under Swiss law that's FinSA; in the EU it's the Prospectus Regulation, with a MiCA white paper for many digital assets. We assess whether an exemption applies and, if not, draft and file the prospectus, offering memorandum or white paper you need.

Payment models are classified by what you hold and move — issuing e-money, initiating payments, providing account-information services or offering buy-now-pay-later each map to different Swiss and EU regimes and license thresholds. We classify your flow of funds, tell you what authorisation you need in each market, and structure the product and contracts so you can launch and scale compliantly.

We scope the work on a free call and fix the price wherever it is scopable; licensing projects run on our Fast-Track procedure with clear milestones, and for open-ended or fast-moving mandates we offer pre-paid hours or a legal-team subscription. No billable-hour targets — you know the cost before work starts.
