Token Assessment FAQ

A token assessment is a formal legal analysis that classifies your token under the FINMA ICO Guidelines and Swiss financial market law. It determines whether your token is a payment token, utility token or asset token — and identifies the resulting regulatory obligations, such as banking-law requirements, securities-law compliance or AML/KYC duties.

The classification of your token determines which regulatory regime applies to your project. An incorrectly structured token can trigger banking-licence requirements, securities prospectus obligations or AML duties you were not planning for. A proper assessment before launch protects you from regulatory action and gives investors, exchanges and custodians the legal certainty they need.

FINMA does not mandate a formal third-party assessment in all cases, but it strongly recommends that projects seek legal clarity before conducting a public token offering. FINMA also invites projects to submit requests for no-action letters or licensing guidance. A legal assessment is the foundation for any such approach and is expected by reputable exchanges and institutional investors.

Yes. Our team advises on MiCA — the EU Markets in Crypto-Assets regulation — for token offerings targeting EU markets. We assess whether your token qualifies as an asset-referenced token, an e-money token or a utility token under MiCA, identify your obligations as issuer, and help you design a compliant offering structure.

The token assessment is a flat fee of CHF 5'500 (excl. VAT), covering the kick-off meeting, the tailored legal memorandum and consultation. For full legal certainty you can add an optional FINMA no-action letter for CHF 2'500; FINMA's processing time for it is typically 2–6 months.

A standard token assessment typically takes one to two weeks from the initial briefing call, depending on the complexity of the token model and the quality of the documentation you provide. We scope the engagement precisely in advance so you know the timeline and cost before we start.

Yes. Where required by investors, exchanges or regulators, we can issue formal legal opinion letters alongside the assessment. These are prepared to the standards expected by institutional counterparties and international platforms.
